Container Trader Terms of Service 07/31/2026
- Acceptance of Terms By creating an account, browsing listings, requesting quotes, purchasing, selling, arranging transportation, or otherwise using any services provided through Container Trader, each user agrees to be bound by these Terms of Service, the Privacy Policy, and any other policies or agreements expressly incorporated by reference.
If a user does not agree to these Terms of Service, that user must not use the marketplace or any related services.
- Eligibility and Authority To use Container Trader, a user must be at least 18 years old and legally capable of entering into a binding contract.
If a user is acting on behalf of a business or other entity, that user represents and warrants that the user has authority to bind that entity to these Terms of Service.
Users must provide accurate, current, and complete information and must promptly update account information when it changes.
Container Trader may suspend, restrict, or terminate access to the marketplace for false information, suspected fraud, unlawful conduct, repeated policy violations, or other conduct that may expose the marketplace or its users to risk.
- Marketplace Role Container Trader operates an online marketplace that connects independent buyers, suppliers, dealers, and transportation providers.
Unless Container Trader is expressly identified in writing as the seller, dealer, transportation provider, or other contracting party for a specific transaction, Container Trader is not a party to the underlying sale, transportation contract, or other agreement between marketplace participants.
Except where expressly agreed in writing, Container Trader does not take title to containers or equipment, does not assume possession or control of inventory, does not inspect every container, does not supervise transportation providers, and does not guarantee the performance of any marketplace participant.
Each marketplace participant is solely responsible for its own listings, representations, contracts, taxes, insurance, permits, legal compliance, and performance of obligations.
- Account Registration and Security Users may be required to create an account to access some marketplace features.
Users are responsible for maintaining the confidentiality of account credentials and for all activities occurring under their accounts.
Users must notify Container Trader promptly of any unauthorized use, suspected compromise, or other security incident involving their accounts.
Unless otherwise approved in writing, one account per individual or business is permitted, and accounts may not be transferred, sold, or shared without prior written consent.
- Listings and Marketplace Content Suppliers and dealers are solely responsible for ensuring that all listings are accurate, complete, current, and not misleading.
Listings must accurately describe, as applicable, the container size, type, condition, grade, depot location, quantity, selling price, major features, and any known material defects or limitations.
Representative photographs may be used to illustrate a container's general grade or condition, but the delivered or released container must be consistent with the advertised specifications and condition.
Listings may not contain false, deceptive, manipulated, unlawful, infringing, or otherwise prohibited content.
Container Trader reserves the right, but not the obligation, to edit, reject, remove, suspend, or restrict listings or accounts that violate these Terms of Service or that may harm the marketplace or its users.
- Buyer Terms Before completing a purchase, buyers are responsible for reviewing the listing, container grade, condition, specifications, pricing, depot location, pickup requirements, delivery requirements, and any applicable fees or taxes.
Unless otherwise stated in writing, all container sales are FOB at the selling depot, and transportation is a separate service.
Full payment must be received and approved before a container is released for pickup or delivery, unless otherwise agreed in writing.
Buyers are responsible for selecting a container grade suitable for their intended use and for reviewing all available listing information before purchase.
If a delivered or released container materially differs from the advertised grade or specifications, the buyer must notify the seller or Container Trader promptly and, where reasonably possible, before removing the container from the depot or accepting delivery so the issue can be evaluated.
Normal cosmetic wear, variations in color, markings, manufacturer, age, repairs, dents, decals, floor wear, rust, and similar characteristics consistent with the advertised condition shall not, by themselves, constitute a material defect.
- Container Condition Standards Shipping containers are commercial industrial equipment and may exhibit characteristics consistent with age, handling, repair history, and prior freight service.
Unless specifically stated otherwise in a listing, cosmetic appearance should not be confused with structural condition.
One Trip One Trip containers have completed at least one international cargo shipment after leaving the manufacturer and are generally in excellent condition, but they are not factory new.
Minor dents, scratches, scuffs, labels, handling marks, and paint imperfections are normal.
Cargo Worthy (CW) Cargo Worthy containers are structurally sound and suitable for continued cargo transportation at the time of sale, but they typically show normal commercial wear, including dents, surface rust, repairs, faded paint, decals, and floor wear consistent with years of service.
Wind & Water Tight (WWT) Wind & Water Tight containers are intended to provide a weather-resistant storage solution with functional doors, walls, roof, and floor that prevent ordinary wind and water intrusion, but they may not meet certification standards for international shipping.
As-Is As-Is containers are sold in their present condition with known or unknown defects and may require repairs. Unless expressly stated otherwise, As-Is containers may not be wind and water tight or suitable for cargo transportation.
- Pricing, Orders, and Payment Prices, inventory, and availability may change, and a displayed listing does not constitute a binding offer to sell until the applicable seller has confirmed inventory, pricing, and accepted the order.
Container Trader may charge marketplace fees, buyer premiums, transportation service fees, processing fees, or other disclosed charges, which will be presented before checkout or order submission where applicable.
In the event of an obvious pricing error, typographical mistake, incorrect inventory information, or system malfunction, Container Trader and the applicable seller reserve the right to decline or cancel the affected order and issue an appropriate refund of amounts paid for the canceled transaction.
Users authorize Container Trader and its payment processors to charge the payment method provided for all authorized purchases, fees, adjustments, collection costs permitted by law, and other amounts due under these Terms of Service.
- Transportation Terms Transportation providers are independent parties and are solely responsible for their own equipment, licenses, operating authority, insurance, safety compliance, scheduling, cargo securement, legal compliance, and service performance.
Unless Container Trader is specifically identified in writing as the transportation provider, Container Trader does not transport containers and is not responsible for carrier performance, transit delays, site access problems, or damage occurring while a container is in the custody or control of a transportation provider.
For flatbed deliveries, the buyer is responsible for providing equipment capable of safely unloading the container from the trailer.
Transportation providers may refuse pickup or delivery if they reasonably determine that site conditions are unsafe, inaccessible, unlawful, or likely to result in damage to persons, property, vehicles, or equipment.
Additional charges may apply for waiting time, failed delivery, redelivery, storage, permits, route restrictions, inaccessible sites, or other circumstances affecting transportation services.
- Supplier, Dealer, and Transportation Provider Responsibilities Suppliers, dealers, and transportation providers represent and warrant that they hold all licenses, permits, registrations, operating authority, approvals, and insurance required for their activities.
Suppliers and dealers represent and warrant that they have legal ownership of, or legal authority to sell, the containers and equipment they list and that they will not knowingly list inventory subject to undisclosed ownership disputes or liens that would prevent lawful transfer.
Transportation providers represent and warrant that their operating authority, safety compliance, and insurance remain in good standing while providing services arranged through the marketplace.
All marketplace participants must comply with all applicable federal, state, provincial, and local laws and regulations.
- Taxes Suppliers and dealers are solely responsible for determining, collecting, reporting, and remitting all applicable sales, use, excise, and similar taxes arising from their sales, unless applicable law requires Container Trader to act as a marketplace facilitator or otherwise collect and remit taxes.
Buyers are responsible for paying all applicable taxes, governmental charges, and fees associated with their purchases.
Transportation providers are solely responsible for their own tax reporting and tax obligations arising from their services.
Nothing in these Terms of Service shall be construed as creating a partnership, joint venture, employment relationship, or agency relationship for tax purposes between Container Trader and any marketplace participant.
- Insurance Suppliers, dealers, and transportation providers are solely responsible for maintaining all insurance required by law and prudent industry practice, including, where applicable, commercial general liability, commercial automobile liability, motor truck cargo, workers' compensation, and other coverage appropriate to their operations.
Buyers are responsible for obtaining any insurance they consider necessary after risk of loss transfers or after delivery, as applicable.
Except where expressly stated in a separate written agreement, Container Trader does not provide insurance coverage for buyers, suppliers, dealers, transportation providers, containers, shipments, vehicles, or cargo.
Container Trader may request proof of insurance at any time and may suspend or terminate marketplace access for failure to maintain required coverage.
- Intellectual Property and Branding The Container Trader name, logo, trademarks, website content, marketplace design, software, graphics, text, and other intellectual property are owned by Container Trader or its licensors and may not be copied, modified, distributed, reproduced, or used without authorization, except as permitted by law or with prior written consent.
Users may not use Container Trader branding in any false, misleading, defamatory, confusing, or unauthorized manner.
Approved users may describe their relationship with Container Trader only in accordance with any branding guidelines or written permissions provided by Container Trader.
- Prohibited Conduct Users may not:
Provide false, misleading, or deceptive information.
List inventory they do not own or are not authorized to sell.
Upload unlawful, infringing, offensive, discriminatory, defamatory, or malicious content.
Engage in fraud, payment abuse, chargeback abuse, identity misuse, or other dishonest conduct.
Attempt to manipulate listings, pricing, availability, reviews, search placement, or transaction records.
Interfere with marketplace security, website functionality, or other users' lawful use of the platform.
Use the marketplace to violate applicable laws or regulations.
Intentionally circumvent the marketplace to avoid applicable fees or policies.
Container Trader may investigate suspected violations and may suspend, terminate, restrict, report, remove, or take other action it deems reasonably appropriate to protect the marketplace and its users.
- Non-Circumvention of Marketplace Container Trader invests significant time, technology, and resources to connect buyers, suppliers, dealers, and transportation providers.
To protect the marketplace, any parties introduced to each other through Container Trader agree not to intentionally circumvent the marketplace for the purpose of avoiding applicable fees on substantially the same transaction that arose directly from contacts made through the platform.
For twelve (12) months following the initial introduction through the marketplace, any transaction involving substantially the same parties and substantially the same containers, equipment, transportation services, or related opportunity that was sourced through the marketplace may remain subject to the marketplace fees that would have applied had the transaction been completed through the platform, to the extent permitted by applicable law.
Container Trader may invoice for unpaid fees arising from a violation of this section and may pursue lawful collection remedies, including suspension or termination of marketplace privileges and recovery of reasonable enforcement costs where permitted by law.
This section does not prohibit future independent business that is unrelated to introductions made through Container Trader.
- Communications and Electronic Consent Users consent to receive communications electronically, including notices, disclosures, invoices, records, and transactional messages, to the extent permitted by law.
By creating an account, clicking an acceptance button, submitting an order, accepting a transaction, or otherwise using the marketplace, users agree that electronic signatures, records, and communications may satisfy legal requirements for writings and signatures to the fullest extent permitted by applicable law.
Users are responsible for maintaining accurate email addresses and other contact information needed to receive communications.
- Disclaimer of Warranties To the fullest extent permitted by applicable law, the marketplace and all related services are provided on an "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
Container Trader does not make, and expressly disclaims, any warranties or representations regarding the accuracy, completeness, reliability, legality, quality, condition, merchantability, fitness for a particular purpose, availability, security, uninterrupted operation, or non-infringement of the marketplace, listings, containers, transportation services, or conduct of marketplace participants, except as expressly stated in a written agreement signed by Container Trader.
No oral or written statement, advice, recommendation, or information provided by Container Trader shall create any warranty not expressly set forth in these Terms of Service or in a separate written agreement signed by Container Trader.
Nothing in this section excludes or limits any warranty or right that cannot be disclaimed under applicable law.
- Limitation of Liability Container Trader makes reasonable efforts to maintain a secure and reliable marketplace but does not guarantee the accuracy of listings, availability of inventory, performance of marketplace participants, uninterrupted website operation, or the successful completion of any transaction.
To the fullest extent permitted by applicable law, Container Trader shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, business interruption, or loss of goodwill, arising out of or relating to the marketplace, any transaction between users, transportation services, container condition, delivery delays, pricing errors, listing inaccuracies, or the acts or omissions of third parties.
Except for liability that cannot be limited under applicable law and subject to the carve-outs below, Container Trader's total cumulative liability arising out of or relating to the marketplace or any transaction shall not exceed the total marketplace fees actually paid to Container Trader in connection with the transaction giving rise to the claim.
The foregoing limitations do not apply to liability arising from Container Trader's fraud, intentional misconduct, gross negligence resulting in physical injury to persons, or any other liability that cannot be excluded or limited under applicable law.
- Indemnification Each user agrees to defend, indemnify, and hold harmless Container Trader and its owners, officers, directors, employees, contractors, affiliates, successors, and assigns from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) that user's breach of these Terms of Service; (b) that user's listings, content, representations, products, services, acts, omissions, negligence, or misconduct; (c) that user's violation of applicable law or the rights of a third party; or (d) disputes between marketplace participants.
Container Trader reserves the right, at its option and expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, and the indemnifying party shall cooperate reasonably in the defense of that matter.
- Dispute Resolution; Governing Law The parties agree to make a good-faith effort to resolve any dispute arising out of or relating to the marketplace, these Terms of Service, or any transaction completed through the marketplace before initiating formal legal proceedings.
If a dispute cannot be resolved through direct negotiation, the parties agree to participate in non-binding mediation with a mutually agreed mediator before filing a lawsuit, unless immediate legal action is reasonably necessary to protect legal rights, preserve evidence, prevent irreparable harm, or pursue provisional remedies.
These Terms of Service and any dispute arising from the use of the marketplace shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles, subject to any mandatory laws that apply in the jurisdiction where a transaction occurs or where rights cannot be waived by agreement.
Unless otherwise required by applicable law, any lawsuit or legal proceeding arising out of or relating to these Terms of Service or use of the marketplace shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and each party consents to the personal jurisdiction and venue of those courts.
To the fullest extent permitted by applicable law, the prevailing party in any legal proceeding arising out of these Terms of Service shall be entitled to recover reasonable attorneys' fees, court costs, expert fees, collection costs, and other litigation expenses, in addition to any other relief awarded.
Nothing in this section limits Container Trader's right to seek temporary restraining orders, preliminary injunctions, attachment, or other equitable or provisional relief to protect confidential information, intellectual property, payment rights, marketplace integrity, or other legal interests.
- Updates to Terms Container Trader may modify these Terms of Service from time to time.
Updated terms become effective upon posting or upon any later effective date stated in the updated terms.
Continued use of the marketplace after the effective date of updated terms constitutes acceptance of the revised terms, except to the extent applicable law requires additional notice or affirmative consent.

Force Majeure Container Trader shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including acts of God, severe weather, natural disasters, fire, flood, earthquakes, pandemics, labor disputes, war, terrorism, civil unrest, government action, utility failures, internet or communication outages, cyber incidents, transportation disruptions, equipment shortages, supplier shortages, or other similar events beyond reasonable control.

Severability If any provision of these Terms of Service is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
Any invalid or unenforceable provision shall be interpreted, and if necessary limited, only to the minimum extent necessary to make it enforceable while preserving the parties' intent as closely as possible.

Entire Agreement These Terms of Service, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between the parties regarding the use of the marketplace and supersede all prior or contemporaneous oral or written understandings relating to that subject matter.

No Waiver No waiver of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
A waiver is effective only if made in writing by an authorized representative of Container Trader.
- Assignment Users may not assign, transfer, delegate, or sublicense any rights or obligations under these Terms of Service without Container Trader's prior written consent.
Container Trader may assign these Terms of Service, in whole or in part, in connection with a merger, acquisition, restructuring, sale of assets, financing transaction, or by operation of law.
